THIS IS A BINDING LEGAL AGREEMENT BETWEEN YOU (“You” or the “Authorized User”) AND REDFLOORS LLC, A CALIFORNIA LIMITED LIABILITY COMPANY (“We,” “RedFloors,” or “Company”). BEFORE ACCESSING OR USING ANY PART OF THE WWW.REDFLOORS.COM WEBSITE, PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY, AS THEY GOVERN YOUR ACCESS TO AND USE OF THIS WEBSITE AND THE PRODUCTS, SERVICES, TOOLS, MATERIALS, AND INFORMATION AVAILABLE THROUGH IT (COLLECTIVELY, THE “SITE”).

REDFLOORS LLC IS WILLING TO PROVIDE ACCESS TO AND USE OF THIS SITE ONLY IF YOU ACCEPT AND AGREE TO ALL OF THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT (“TOS”). IF YOU DO NOT AGREE TO THIS TOS, YOU MAY NOT ACCESS OR USE THE SITE, AND YOU MUST EXIT IMMEDIATELY.

1. LICENSE GRANT
This Site is owned and operated by RedFloors LLC, and this TOS provides to you a personal, revocable, non-transferable, non-exclusive, royalty-free, limited license to use the Site and its contents, subject to your continued compliance with all terms and conditions contained in this Agreement.
You may use and access the Site (i) from a single device, whether desktop or mobile, and (ii) for your own personal or internal business use. You may temporarily store information from the Site in your browser’s cache and may print or download content solely for your own use, provided that all copyright or proprietary notices are preserved.
If you access this Site on behalf of a business entity, such entity remains fully bound by these terms, and you represent that you are authorized to bind such entity to this TOS.

2. RESTRICTIONS

4. DELIVERY OF INFORMATION (USER SUBMISSIONS)
By submitting content, forms, or other information through the Site (“Submissions”), including inquiries, quote requests, or service details, you grant RedFloors a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, distribute, and display such content solely for purposes related to providing services or improving the Site.
You represent and warrant that you own or have all necessary rights to provide such content, and that such content does not infringe on any third-party rights.
RedFloors is not responsible for any failure to store or maintain any Submission or communication you transmit.

10. DISCLAIMER OF WARRANTIES

REDFLOORS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, OR AVAILABILITY.
WE DO NOT WARRANT THAT THE SITE OR ANY PART OF IT WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
YOU ASSUME ALL RESPONSIBILITY FOR YOUR USE OF THE SITE.

11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REDFLOORS LLC OR ITS OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY CONTENT PROVIDED THEREIN.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU (IF ANY) FOR SERVICES THROUGH THE SITE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless RedFloors LLC and its affiliates, officers, directors, employees, agents, contractors, and representatives from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with:

• Your use or misuse of the Site;
• Your violation of this TOS;
• Your violation of any rights of another, including any intellectual property or privacy rights.

13. GOVERNING LAW AND VENUE
This TOS shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
Any disputes arising out of or relating to this TOS or your use of the Site shall be resolved exclusively in the state or federal courts located in Shasta County, California, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.
You agree that any claim or cause of action related to the Site or this TOS must be filed within two (2) years after such claim arises, or it shall be permanently barred.

14. SECURITY ENFORCEMENT
Unauthorized use of this Site, including but not limited to unauthorized entry into RedFloors systems, misuse of passwords, or misuse of any information posted on the Site, is strictly prohibited. RedFloors reserves the right to monitor, investigate, and take legal action against any violation of system or network security.
You acknowledge that RedFloors may cooperate fully with law enforcement authorities in the investigation of suspected criminal violations.

15. TERM AND TERMINATION
This Agreement becomes effective upon your first access to or use of the Site and remains in effect until terminated by either party.
RedFloors may terminate or suspend your access to the Site at any time, with or without cause or notice. You may terminate this Agreement by ceasing all use of the Site.
Upon termination, the license granted herein shall immediately terminate, and you must promptly destroy all copies of any materials obtained from the Site. The following provisions shall survive termination: Sections 8 (Intellectual Property), 9 (Feedback), 10–13 (Disclaimers, Limitations, Indemnity, Governing Law), and this Section.

16. MISCELLANEOUS
If any provision of this TOS is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.
No waiver by either party of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default.
This TOS, along with our Privacy Policy, constitutes the entire agreement between you and RedFloors LLC relating to the use of the Site and supersedes all prior or contemporaneous communications.
No agency, partnership, joint venture, or employment relationship is created by this Agreement.
